Welcome to PennyChat! These Terms of Service ("Terms") govern your use of the PennyChat Telegram bot and Mini App. By using PennyChat, you agree to these Terms.

1. Acceptance of Terms

By accessing or using PennyChat, you agree to be bound by these Terms and our Privacy Policy. If you are using PennyChat on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

PennyChat is a personal finance management tool that provides:

• Transaction tracking via natural language commands
• Financial statistics and reports
• AI-powered financial insights (Premium feature)
• Asset management and net worth tracking (Premium feature)
• Budget planning and alerts (Premium feature)
• Data export capabilities (Premium feature)

3. User Accounts and Registration

3.1 Account Creation

To use PennyChat, you must have a Telegram account. Your PennyChat account is automatically created when you first interact with the bot using your Telegram credentials.

3.2 Account Responsibility

You are responsible for:

• Maintaining the security of your Telegram account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• The accuracy of information you provide to PennyChat

3.3 Age Requirement

You must be at least 13 years old to use PennyChat. Users under 18 should have parental consent.

4. Free and Premium Services

4.1 Free Service

The free version includes:

• Basic transaction tracking
• 50 AI parses per month
• 3 months of transaction history
• Up to 10 custom categories
• Weekly and monthly statistics

4.2 Premium Service

Premium subscription includes:

• Unlimited AI parsing
• AI-powered financial insights
• Unlimited transaction history
• Unlimited custom categories
• Asset management and net worth tracking
• Budget planning and alerts
• Data export (CSV format)
• Interactive Mini App with advanced charts

4.3 Pricing

• Monthly Plan: $4.99/month
• Yearly Plan: $49.00/year (17% savings)

Prices are subject to change with 30 days notice. Price changes will not affect existing subscriptions until renewal.

5. Payment Terms

5.1 Payment Processing

Payments are processed securely through Stripe. By subscribing to Premium, you authorize us to charge your payment method on a recurring basis.

5.2 Billing Cycle

• Monthly subscriptions bill every 30 days
• Yearly subscriptions bill every 365 days
• Billing occurs on the same day of the period as your initial subscription

5.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel anytime through Stripe's customer portal.

5.4 Refund Policy

• Monthly Subscriptions: Refunds available within 7 days of initial purchase only
• Yearly Subscriptions: Pro-rated refunds available within 30 days of initial purchase
• Renewals: No refunds for automatic renewals (cancel before renewal date)
• Abuse Prevention: We reserve the right to deny refunds in cases of abuse

To request a refund, contact us via email or Telegram within the applicable period.

5.5 Failed Payments

If a payment fails:

• We will attempt to process payment up to 3 times over 10 days
• You will receive notification of payment failure
• Premium features will be suspended after final failed attempt
• Your account and data will remain intact for 30 days

6. Acceptable Use

6.1 Permitted Use

You may use PennyChat for:

• Personal finance management
• Tracking income and expenses
• Analyzing spending patterns
• Managing personal budgets and assets

6.2 Prohibited Use

You may NOT:

• Use PennyChat for illegal activities
• Attempt to hack, reverse engineer, or compromise the service
• Share your account with others
• Use automated tools to abuse the service
• Upload malicious content or spam
• Resell or redistribute PennyChat services
• Violate any applicable laws or regulations
• Impersonate others or provide false information

7. Intellectual Property

7.1 Our Rights

PennyChat, including all code, designs, logos, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property.

7.2 Your Data

You retain all rights to your financial data. By using PennyChat, you grant us a limited license to process your data solely to provide the service.

7.3 Feedback

If you provide feedback or suggestions, we may use them without obligation or compensation to you.

8. Data and Privacy

Your use of PennyChat is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

8.1 Data Accuracy

You are responsible for the accuracy of financial data you input. PennyChat is a tool; it does not provide financial advice.

8.2 Data Security

We implement security measures to protect your data, but we cannot guarantee absolute security. Use PennyChat at your own risk.

9. Service Availability

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance, updates, and unforeseen issues may cause temporary downtime.

9.2 Service Changes

We reserve the right to:

• Modify or discontinue features with reasonable notice
• Update the service to improve functionality
• Introduce new features or pricing tiers

9.3 Third-Party Dependencies

PennyChat relies on third-party services (Telegram, Stripe, Groq, Supabase). We are not responsible for their outages or service changes.

10. Termination

10.1 Your Right to Terminate

You may stop using PennyChat at any time. To delete your account and data, contact us via Telegram or email.

10.2 Our Right to Terminate

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in prohibited activities
• Fail to pay for Premium services
• Abuse or harm the service

10.3 Effect of Termination

• Premium features will be immediately revoked
• Your data will be retained for 30 days for potential recovery
• After 30 days, all data will be permanently deleted
• No refunds will be provided for early termination (unless required by law)

11. Disclaimers and Limitations

11.1 No Financial Advice

11.2 AI Accuracy

AI-powered features may not be 100% accurate. Always review AI-generated insights and transaction parsing for errors.

11.3 Service "AS IS"

PennyChat is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Accuracy or reliability of data
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

11.4 Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid in the last 12 months
• Issues caused by third-party services or user error

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your use of PennyChat
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Financial decisions made based on PennyChat data

Continued use after changes constitutes acceptance. If you disagree with changes, stop using PennyChat and cancel your subscription.

15. General Provisions

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and PennyChat.

15.2 Severability

If any provision is found invalid, the remaining provisions will remain in effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms. We may assign our rights and obligations to a successor.

15.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, internet outages, etc.).
